These Terms of Service (“Terms”) govern your access to and use of JEFFE.ai™, an AI agent orchestration platform for Amazon Web Services (“AWS”), provided by Data2Cloud Solutions LLC (DBA Data2Cloud) (“Company,” “we,” “us,” or “our”).
By completing registration via AWS Marketplace, creating an account, or otherwise accessing or using the Service, you (“Customer” or “you”) agree to these Terms on behalf of yourself and, where applicable, the organization you represent. You represent that you have authority to bind that organization to these Terms.
JEFFE.ai™ is a multi-tenant SaaS platform that enables customers to deploy, configure, and operate AI agents against their AWS infrastructure. Key capabilities include:
The Service operates by assuming a cross-account IAM role you provision in your AWS account. The Company never stores your AWS credentials. All agent actions that modify infrastructure require your explicit approval before execution.
JEFFE.ai™ is sold exclusively through the AWS Marketplace. All billing, invoicing, and subscription lifecycle management (including upgrades, downgrades, and cancellations) is handled by AWS Marketplace and consolidated to your existing AWS invoice.
Prices shown are per-seat monthly rates. Annual plans are billed upfront. Monthly plans auto-renew each month. Prices may change with 30 days’ notice via the AWS Marketplace listing.
Subscriptions activate when AWS Marketplace confirms payment. The Company has no ability to override AWS billing or issue refunds independently — all refund requests must be directed to AWS Marketplace customer support.
If your AWS Marketplace subscription lapses, is cancelled, or enters a suspended state, access to the Service will be restricted or terminated in accordance with the lifecycle events received from AWS Marketplace.
Upon completing Marketplace registration, we will create a tenant account and send a temporary password to the email address you provide. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account.

The Service operates within your AWS environment via a cross-account IAM role. You are solely responsible for:
Operational metadata (agent configurations, run logs, approval records, script outputs) is stored in AWS DynamoDB and S3 within the Company’s AWS account. This data is logically isolated per tenant. We do not access your data except as required to operate the Service or respond to a verified support request from you.
We implement commercially reasonable technical and organizational security measures. However, no system is completely secure. You are responsible for your own data backup and recovery.
The Service, including its software, design, trademarks (including JEFFE.ai™), and documentation, is owned by Data2Cloud Solutions LLC and protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during your active subscription.
You retain ownership of your data, agent configurations, and any scripts or artifacts you create using the Service. You grant us a limited license to process your data solely to provide the Service.
Script bundles published to the community registry are contributed under a license that allows all tenants to read and use them. You retain authorship but grant the Company the right to display, distribute, and incorporate community bundles into the Service.
IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE COMPANY’S TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless Data2Cloud Solutions LLC, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service in violation of these Terms; (b) your violation of any applicable law or third-party right; or (c) any actions taken by AI agents operating under credentials or approvals you granted.
Either party may terminate the subscription at any time through AWS Marketplace. Termination takes effect at the end of the current billing period unless you cancel during an active suspension or unsubscribe-pending state, in which case access may be restricted immediately.
Upon termination, your license to use the Service ends. We will retain your operational data for 30 days following termination, during which you may request an export. After 30 days, data will be deleted in accordance with our data retention practices.
We may suspend or terminate your account immediately if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a security risk to the Service or other tenants.
We may update these Terms from time to time. When we make material changes, we will notify you via email (to the address associated with your account) or via a notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Texas.
